TERMS AND CONDITIONS OF SERVICE

1. Binding Nature of Agreement

These Terms and Conditions constitute a legally binding contract between the user (“User,” “you,” or “your”) and Tabania Inc. (“the Company,” “we,” “us,” or “our”). By accessing, browsing, or creating an account on the JobHosts platform, you affirmatively acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Modification and Amendment of Terms

Tabania Inc. reserves the right, in its sole and absolute discretion, to modify, update, or replace any part of these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of this page or via email notification. Your continued use of the JobHosts platform following the posting of any changes constitutes acceptance of those modifications. It is your responsibility to review these Terms periodically for updates.

3. Eligibility and User Representations

The Service is intended solely for users who are eighteen (18) years of age or older. By using JobHosts, you represent and warrant that you meet this age requirement and that you have not been previously suspended or removed from our services. You further warrant that all information provided during the registration process—including but not limited to your name, professional history, and contact details—is accurate, current, and complete, and that you will maintain the accuracy of such information at all times.

4. Account Security and Confidentiality

Access to certain features of JobHosts requires the creation of a user account. You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to accept responsibility for all activities that occur under your account. You must notify Tabania Inc. immediately upon becoming aware of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

5. License Grant and Intellectual Property

All content included on the Site, such as text, graphics, logos, images, software, and the "JobHosts" brand name, is the property of Tabania Inc. or its content suppliers and is protected by international copyright, trademark, and intellectual property laws.

Limited License: Tabania Inc. grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for personal job-seeking or legitimate recruitment purposes.

Restrictions: You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from Tabania Inc.

6. User-Generated Content and Professional Profiles

By uploading a resume, creating a "Work Profile," or posting job descriptions, you grant Tabania Inc. a worldwide, perpetual, irrevocable, royalty-free license to host, store, use, display, and distribute such content.

Accuracy: You are solely responsible for the content you post.

Vetting: Tabania Inc. does not pre-screen all user-generated content and is not responsible for the accuracy or legality of job postings or candidate profiles. We reserve the right, but have no obligation, to remove content that we deem, in our sole discretion, to be harmful, offensive, or in violation of these Terms.

7. Prohibited Uses and Platform Integrity

You agree not to use the JobHosts platform for any unlawful purpose. Specifically, you are prohibited from:

Using data mining, robots, or similar data gathering and extraction tools.

Circumventing any technological measure implemented by us to protect the Service.

Posting any incomplete, false, or inaccurate biographical information or information which is not your own.

Harassing, stalking, or harming another user or employee of Tabania Inc.

Attempting to probe, scan, or test the vulnerability of the JobHosts system or network.

8. Employer-Specific Terms and Recruitment Ethics

Employers using JobHosts agree to comply with all applicable labor and employment laws, including those relating to non-discrimination, data privacy, and fair hiring practices. Employers are prohibited from posting roles that require an upfront financial investment from the candidate (e.g., multi-level marketing) or roles that do not exist. Tabania Inc. reserves the right to suspend any employer account found to be engaging in "bait-and-switch" recruitment tactics.

9. Third-Party Services and External Links

JobHosts may contain links to third-party websites, advertisers, or services that are not owned or controlled by Tabania Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Tabania Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused by your use of such external services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TABANIA INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR DO WE GUARANTEE THAT ANY JOB SEEKER WILL RECEIVE AN OFFER OF EMPLOYMENT THROUGH THE PLATFORM.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TABANIA INC., ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE.

12. Indemnification Clause

You agree to defend, indemnify, and hold harmless Tabania Inc. and its subsidiaries, agents, licensors, managers, and other affiliated companies from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights.

13. Subscription Fees and Financial Transactions

Certain features of JobHosts may require the payment of fees. You agree to provide accurate and complete billing information. Tabania Inc. uses third-party payment processors to handle credit card transactions. We are not responsible for errors or security breaches caused by these third-party processors. All fees are non-refundable unless otherwise required by law or specified in a separate written agreement.

14. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tabania Inc. is incorporated, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within our corporate headquarters' district for the resolution of any disputes arising out of these Terms or your use of JobHosts.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of the Terms shall otherwise remain in full force and effect. This Agreement constitutes the entire agreement between you and Tabania Inc. regarding the subject matter herein.
